Mario Bonsetti and Rico Sanchez incorporated Gnarly Vulcan Gear, Inc. (GVG), to manufacture windsurfing equipment. Bonsetti owned 60 percent of the corporation’s stock, and Sanchez owned 40 percent. Both men served on the board of directors.

Hula Boards, Inc., owned solely by Mai Jin Li, made a public offer to buy GVG stock. Hula offered 30 percent more than the market price per share for the stock, and Bonsetti and Sanchez each sold 20 percent of their stock to Hula. Jin Li became the third member of the GVG board of directors. An irreconcilable dispute soon arose between Bonsetti and Sanchez over design modifications of their popular Baked Chameleon board.

Despite Bonsetti’s dissent, Sanchez and Jin Li voted to merge GVG with Hula Boards under the latter name, Gnarly Vulcan Gear was dissolved, and production of the Baked Chameleon ceased. Using the information presented in the chapter, answer the following questions.

  1. What rights does Bonsetti have (in most states) as a minority shareholder dissenting to the merger of GVG and Hula Boards?
  2. Could the parties have used a short-form merger procedure in this situation? Why or why not?
  3. What is the term used for Hula’s offer to purchase GVG stock?
  4. Suppose that after the merger, a person who was injured on the Baked Chameleon board sued Hula (the surviving corporation). Can Hula be held liable for the injury? Why or why not

In addition to the breakup of AT & T, another major change in the telephone system after 1984 is the Telecommunications ACT of 1996.  This Act enabled anybody to offer local telephone services to homes and businesses; this  included long-distance telephone companies, cable TV services operators, small companies, and electric companies (White, 2016p. 311).  This maximized the capabilities of existing local telephones or cable lines which most homes and buildings were already wired with.  It enabled homes or buildings to use their existing line to access both cable TV and phone services.   This has led to internet cable modems we have in our homes today.

Question B

A great example of a common communication home device that connects to the internet is my Google Nest Wi-Fi MESH router.  My google nest is equipped with three Wi-Fi access points that are systematically positioned throughout my house that ensures expanded coverage with robust connectivity.  It supports all my internet capable home devices including all my TV’s, home security system, laptops, printer, and smartphones. Google also integrated the Nest user interface with their Google Home App.  This enables me to remotely monitor network performance or troubleshoot using an app on my smartphone.   This is a great feature because my wife is not tech savvy at all.  When I am not home and the system goes down, I can troubleshoot my home Wi-Fi network remotely.

Dale Emerson served as the chief financial officer for Reliant Electric Company, a distributor of electricity serving portions of Montana and North Dakota. Reliant was in the final stages of planning a takeover of Dakota Gasworks, Inc., a natural gas distributor that operated solely within North Dakota.

On a weekend fishing trip with his uncle, Ernest Wallace, Emerson mentioned that he had been putting in a lot of extra hours at the office planning a takeover of Dakota Gasworks. When he returned from the fishing trip, Wallace purchased $20,000 worth of Reliant stock.

Three weeks later, Reliant made a tender offer to Dakota Gasworks stockholders and purchased 57 percent of Dakota Gasworks stock. Over the next two weeks, the price of Reliant stock rose 72 percent before leveling out. Wallace sold his Reliant stock for a gross profit of $14,400. Using the information presented in the chapter, answer the following questions.

Boeing is one of the leading aerospace manufacturers, which William Boeing established in July 1916. This company creates, manufactures, and sells aircraft, rotorcrafts, rockets, and satellites to several nations worldwide. Since its inception, it has risen to become one of the major exporters in the U.S. Dollar terms in the U.S. and the third-largest defense equipment provider in terms of revenue by 2020. This growth can be attributed to its effective supply chain, where the organization focuses on its core activities to help meet its market demands. Due to the fact that an airplane has more than three million parts, the organization’s supply chain is vast and global. One of the organizations with an efficient supply that has contributed to its competitive advantage is Boeing; therefore, it is important to explore its supply chain area and its importance to the organization.

Purchasing and Supplier Relationship
The purchasing and supply chain relationship is important to Boeing for several reasons. One of the benefits is that it has resulted in a reduction in costs where it has eliminated the need to negotiate and seek fresh deals from suppliers of its raw materials. The second importance is that it has improved the organization’s efficiency by improving communication. There are fewer order issues related to the acquisition of raw materials, and in cases where issues might arise, conflict resolution has become simpler (He et al., 2014). The third importance is that it has helped ensure continuously improved operations due to feedback from suppliers.

Customer Relationship Management
The relationship of this organization with its customers has helped ensure that it retains its customers and ensures their satisfaction. It has also made it possible for the organization to identify and develop strategies to address issues affecting customers before they become problems. Boeing’s customer relationship management has also helped the organization to increase its profits by allowing it to deal with different segments cost-effectively.

Inventory Management
The organization’s inventory management has helped increase Boeing’s productivity. The organization has increased its production rates because there are a few mistakes that they have to deal with, enabling it to focus on making high-quality products (Lamba & Elahi, 2012). Inventory management has also made it possible for the organization to reduce its business costs by ensuring that it only acquires the products that are on demand. Lastly, inventory management has helped improve the organization’s supply chain.

Quality Management
Quality management has benefited the organization by ensuring that there is operational consistency. This is because it has made it possible for it to achieve stability in its objects. It has ensured the organization’s efforts are aligned toward the production of high-quality products. It has also helped ensure continuous improvement, which has helped it gain a competitive advantage over its competitors.

Logistics Functions
Warehousing in logistics has helped ensure that the products of Boeing are easily distributed, raw materials are accessible, and improved the management of inventories. It has also increased the organization’s efficiency and made it possible to keep a better record of its products and the available quantities (Mocenco, 2014). On the other hand, transportation has helped reduce the organization’s freight expenses, improve its service to customers, and make it possible to track deliveries in real-time.
